Terms of service

"Agreement" or "Terms of Service" means, as may be updated by Rentesy from time to time in its sole and absolute discretion, these Property Manager Terms of Service, including all attachments, schedules and agreements incorporated by way of reference.

"Rentesy's Content" means all source and object code, databases, functionality, software, website designs, audio, information, video, text, photographs, and graphics made available by Rentesy via the Services to (a.) Customer and/or (b.) any User.

"Customer's Data" means any of Customer's, Customer's Users, as well as other individuals' listed inside of a Customer's Rentesy account, personal data, credit data, biometric data, transaction data, system data or other data, feedback, that Customer and/or User(s) own(s), accept(s), utilize(s), processes and/or collect(s) from another person or entity and/or submit(s) and/or provide(s) to Rentesy and/or add(s) to the Platform in the course of using the Services.

"Customer" means the company, entity or individual responsible for creating or maintaining an account with Rentesy and registered as the account owner. Also referred to as "You" and "Your" in this Agreement.

"Designated Director(s)" means any person(s) designated by Customer to register for the Services, additional Doors (as detailed in Section ‎10) or otherwise administer Customer's (and its Users') use of and/or access to the Services.

"Doors" means the number of total units of Customer's commercial, residential, student housing, community association, industrial, affordable housing, or other real estate that are added to the Platform by Customer or at Customer's request. By way of an example, if a Customer has added onto the Platform one (1) multifamily building with five-hundred (500) apartments, one (1) student housing building with three-hundred (300) beds, one (1) affordable housing building with one-hundred and fifty (150) rental units, and two (2) office buildings each with fifty (50) individual offices, then the total number of Doors is equal to one-thousand and fifty (1,050).

"Rentesy" means Rentesy Softwares Pvt Ltd, an Indian company and/or its affiliates.

Use

Subject to Your compliance with this Agreement, Rentesy agrees to provide You with use of and access to the Service in the version selected by Customer in the Order Form, as amended from time in accordance with this Agreement.

Term

This Agreement shall (1.) commence on the Effective Date (2.) shall continue on a monthly or annual basis with auto-renewal at the end of the applicable period (in accordance with the specific plan Customer subscribed to) unless amended or terminated by either party in accordance with this Agreement.

Access to the Service

Following the Effective Date of this Agreement and Your completion of any other materials as requested by Rentesy, Rentesy will provide You with instructions on how to access its online customer portal (the "Customer Portal"), through which Rentesy provides authorized Customers and Users with access to Services. Once arriving at the Customer Portal, You are requested to provide Your username and password/access code in order to gain entry into the Customer Portal and Services.

You are exclusively responsible for (1.) maintaining the secrecy of Your and Your Users' usernames and passwords and (2.) ensuring that Your use of the Service is both compatible with and sufficient for Your needs and requirements (3.) any unauthorized access to the Customer Portal and misuse of Services and (4.) making sure Users comply with the terms and conditions of this Agreement and the Privacy Policy and do not share passwords/access codes.

Modification; Discontinuation

Without notice of any kind, Rentesy may modify, amend, increase, decrease, terminate, or discontinue, in its sole and absolute discretion, the Service and/or any Service features or functions including but not limited to 3rd Party Provider Service(s), including the addition, modification and/or removal of entire 3rd Party Provider Services. If You do not agree to any such change, You understand and agree that Your exclusive recourse is to terminate this Agreement as detailed in Section ‎‎11 (Termination & Suspension) below and that You shall neither receive nor be entitled to receive any refund or credit of any kind.

Permit Authorization

Provided that You are lawfully authorized and for the consideration provided herein, Rentesy hereby grants You a limited, revocable, non-exclusive, non-sublicensable, non-transferable license to access and use the Customer Portal and Services solely for Your own internal and lawful business purposes for the Doors referenced to in the Order Form, subject to Your continued compliance with the terms and conditions of this Agreement (the "Permit Authorization").

Restrictions

The Permit Authorization cannot be shared or used for any Doors other than those referenced in the Order Form. However, the Permit Authorization may be used from time to time for new Doors that are replacing former Doors which no longer are actively listed on the Customer Portal and which do not make use of the Service, so long as Customer obtains the prior written consent of Rentesy with respect to any such use, which consent shall not be unreasonably withheld.

You shall not attempt to (nor shall you), either directly or indirectly:

• License, grant, sell, resell, transfer, assign, distribute, reproduce, copy or otherwise commercially exploit or make available to any third party the Service, any part thereof, or any part of Rentesy's Content in any way;
• Upload or use the Service to submit, store, process or transmit viruses, malicious codes, worms, Trojan horses, or anything else other (such as excessive use of capital letters or spamming (continuous posting of repetitive text), that could or would interfere with any Customer's or User's uninterrupted access, use and enjoyment of Rentesy's Website or Services, or which modifies, impairs, disrupts, alters, or interferes with the features, functions, maintenance, use or operation of such;
• Reverse engineer, disassemble, or decompile the Service or apply any other process or procedure to derive the source code of any software included in the Service;
